Overview of terms and full text of agreements

Activated editions of Omniscope are typically licensed on an annual basis, although multi-year licenses and perpetually-licensed bundles are available. Licenses include activation support, all updates and key insurance for the duration of the license. Perpetual licenses require annual support payments which are not optional. Software support payments on perpetual keys must be kept current to maintain connectivity with our support servers for updates and refresh of subsequent versions, ability to move installations via de-activation/refresh and replacement key insurance if machines fail, are stolen etc.

Omniscope licensing is per-account. Installations must be activated while logged into the account to be used with the activated Omniscope. Otherwise, Omniscope will be activated only in the Administrator account, and will revert to a free Viewer in all other user accounts. Server Editions running continuous automation processes on always-on servers should be activated using accounts that do not logout. Centralised environments like Citrix still require per-account activation. Activation/de-activation while running on-demand provisioned 'cloud' servers is allowed, but requires at least one Server license and spare keys for each virtual server operating concurrently.

Omniscope keys can be de-activated on one machine and moved to another, but you may do this unassisted only three times, after which you will need to contact us to help you move/re-activate the key. Please note that users and IT support staff must always de-activate Omniscope and recover the key before re-building a machine or re-formatting the hard drive. Uninstalling Omniscope is never required and does not de-activate the key on our servers.

The standard Omniscope End User Licensing Agreement (EULA) contains a restriction in Section 2 regarding external distribution or publishing of Omniscope IOK files for commercial purposes. If you intend to distribute Omniscope files to paying customers that will be using the free Viewer, and you wish to enable selected Viewer features in your files, a separate Commercial Publishing License may be required to amend your standard EULA and remove the restriction on external commercial publishing via the free Viewer. Omniscope installations fully-licensed for commercial publishing use different keys that add explicit notices to files that can enable selected free Viewer features. No Commercial Publishing License is required to produce and distribute any number of Flash DataPlayers.

Omniscope Restricted End Use Licenses

Allows all internal use and distribution/publishing of IOK files without enabled Viewers

The standard Omniscope End User License Agreement (EULA) is a restricted publishing license that grants rights to use the software, with regular updates and support, for unlimited internal or non-profit file distribution. External distribution/publication/refresh of Omniscope files for non-commercial purposes IS permitted under the terms of the standard EULA. Distribution of regular reporting files to clients under a contract whereby payment is for services other than hosting & delivery of data in IOK format is also permitted under the standard EULA. Commercial distribution of IOK files to customers paying ONLY for the IOK files, and/or re-formatting remotely-hosted customer data for delivery in IOK format via a multi-tenant shared platform requires an additional Commercial Publishing License. All IOK files created by restricted end-use licensed installations display the notice "not for commercial publishing" on the files created.

Omniscope Commercial Publishing Licenses

Allows unrestricted commercial distribution/publishing of IOK files with enabled Viewers

Before you can publish data in Omniscope IOK file format without restriction, i.e. sending self-refreshing IOK files regularly to paying clients, charging a subscription fee only for the data being delivered in IOK files, or providing clients the option of downloading their remote-hosted data as Omniscope IOK files from a multi-tenanted platform, we must first agree an unrestricted Commercial Publishing License. Your Commercial Publishing License agreement will include supply of new activation keys to remove the "not for commercial publishing" restriction notice from all IOK files produced by your unrestricted license installations.

Visokio grants Commercial Publishing Licenses along with Publishing Server Editions which, among other special features, can enable selected features in file recipients/clients' free Viewer desktop installations:
1) refreshing data automatically to the user desktop from IOK datamarts held by the Publisher
2) enabling export of user-selected subsets of file data to Excel/CSV
3) enabling export of Flash DataPlayers from IOK files to common documents like PDF, PowerPoint, etc.
4) providing access to an unbranded version of the Web Start Omniscope Online free Viewer for seamless integration with Publisher web sites
5) other features to be defined
Visokio works closely with commercial publishing clients to define the appropriate licensing model and offers file configuration, database automation, development and consulting assistance on a daily-charged basis.
